Summary: By submitting a seller application and receiving approval from Pitaki, you agree to be bound by these Seller Terms & Conditions. If you do not agree, do not apply or use the Platform as a seller.

Seller Terms & Conditions (Pitaki Marketplace)

These Seller Terms & Conditions (the “Terms”) govern your access to and use of the Pitaki marketplace and related services (collectively, the “Platform”) operated by PITAKI LLC (“Pitaki”, “we”, “us”, or “our”).

1) Acceptance & Eligibility

By submitting a seller application and receiving approval from Pitaki, you agree to be bound by these Terms. No signature is required. Approval of your application confirms your acceptance. If you do not agree, do not apply or use the Platform as a seller.

2) Definitions

  • Buyer: A person or company that purchases products or services through or as a result of discovering you via the Platform.
  • Products: Goods or services you list, market, or supply via the Platform.
  • Seller Dashboard: Your logged-in interface where fees, commissions, and notices may be displayed.
  • Promotion Code: The code “PITAKI” used to identify referrals originating from Pitaki and to enable a 2% discount when applicable.
  • Referral Sale: A sale where the Buyer uses the Promotion Code “PITAKI” or indicates that they discovered the Seller or Products via Pitaki (including the Platform or Pitaki marketing).

3) Account; Approval; Information

All sellers are reviewed before approval. You must keep all business and tax information accurate and up to date. Pitaki may request supporting documents and may suspend or revoke accounts for inaccurate or incomplete information.

4) Listings, Pricing & Changes

  1. Setup & Management by Pitaki (Initial Phase). During onboarding and initial launch, Pitaki will create and manage your Seller Profile and Product Listings on your behalf, based on the materials you provide (e.g., specs, images, certifications, pricing, and policies). Pitaki may edit for clarity, formatting, or compliance.
  2. Seller Materials; Accuracy & Compliance. You must provide accurate and lawful information. While Pitaki helps present it professionally, you are fully responsible for accuracy, legality, and compliance.
  3. Review & Approval. Pitaki may share draft listings for your review and approval. Unapproved items may remain unpublished.
  4. Ongoing Changes & Updates. You can request updates at any time; Pitaki will implement them within five (5) business days.
  5. Price Changes (Brokered/Agent Deals). For Products marketed beyond standard listings, please provide twenty (20) business days’ notice before any price change. Price changes do not affect existing orders.
  6. Prospect Attribution & Key Communications. When buyers mention Pitaki, please notify us. Keep us informed of significant order updates or delivery confirmations related to Pitaki-originated leads.
  7. Payment Defaults. If a buyer you invoice directly misses a payment, notify Pitaki promptly.
  8. Right to Edit/Unpublish. Pitaki may edit, suspend, or remove inaccurate or non‑compliant listings.

Onboarding Playbook (What to Provide)

To help us build your Profile and Listings quickly and accurately for B2B agricultural products, please provide:

  • Company & brand: logo files, brand guidelines, and overview.
  • Products/SKUs: top SKUs, categories, spec sheets, HS codes if applicable.
  • Certifications & compliance: last used food safety proof (HACCP), organic/fair‑trade certificates, specs sheet.
  • Pricing: wholesale price list, MOQs, tiers, and Incoterms.
  • Images: high‑quality product and packaging images.
  • Policies: warranty terms, B2B return conditions, lead times, shelf life.
  • Contacts: sales/logistics contacts, preferred payment methods, and payout details.

5) Pitaki’s Role

Pitaki operates as a promotional and discovery platform connecting Buyers with Sellers. Unless specifically agreed otherwise, Pitaki is not a party to sales contracts, does not store or ship Products, and does not handle fulfillment. Sellers manage delivery, invoicing, and after‑sales directly. Pitaki’s primary role is to promote products and facilitate discovery. As part of these promotional services, Pitaki may manage Seller Profiles and Listings during onboarding and launch; this does not make Pitaki a seller or co‑supplier.

6) Orders, Fulfillment & Customer Service

  1. Acceptance. Sellers must process and fulfill orders promptly under their own terms.
  2. Shipping & Delivery. Sellers handle all logistics, including packaging, shipping, and delivery.
  3. Returns & After‑Sales. Sellers manage returns or replacements according to their policies and local law.
  4. Compliance. Sellers ensure all Products comply with applicable regulations and export laws.

B2B Returns & After‑Sales Guidelines (Recommended)

  • Returns limited to defective, damaged-in-transit, or not-as-described items.
  • Buyer should notify Seller within 7–14 days of delivery.
  • Seller issues RMA and provides replacement, repair, or credit.
  • Warranty terms to be provided clearly by Seller.
  • Support requests acknowledged within 2 business days.

7) Fees, Commission & Payouts

  1. Subscription & Setup Fees. A one‑time setup fee of USD $30 applies at onboarding for profile and listing creation. Continued access costs USD $10 per month, covering up to 2 products listing; USD $30 per month for up to 4 products listing. For more, please contact Sales.
  2. Commission (Standard). Pitaki’s commission is 5% of the total order amount for all transactions facilitated through the Platform or referrals.
  3. Promotions (Optional 2%). Pitaki may run a 2% discount promotion using the code “PITAKI.” When a Buyer uses the code, Seller grants a 2% discount and pays Pitaki a 3% commission.
  4. Trust‑Based Referrals. If a Buyer mentions Pitaki (even off‑Platform), Seller must notify Pitaki and remit the applicable commission within 15 days of payment receipt.
  5. Timing. Pitaki will pay out Seller proceeds (for payments Pitaki collects) or Sellers will remit commission (for off‑Platform sales) within fifteen (15) days of cleared funds.
  6. Taxes. Sellers are responsible for all taxes, duties, and cross‑border fees. Pitaki is not a marketplace facilitator unless stated otherwise.

How the 2% PITAKI Promo Works (For Sellers)

  • What it is: Buyers may use promo code PITAKI for a 2% discount.
  • Commission math: 3% to Pitaki if promo used, 5% if not.
  • Remittance: Send Pitaki commission within 15 days after you receive payment.

Scenario A — Buyer Requests the Discount

“Thanks for reaching out. We work with Pitaki to promote our products. Since you discovered us via Pitaki, you can use promo code PITAKI for a 2% discount on this order. We’ll reflect the discount on your quote/invoice.”

Scenario B — Supplier Explains the Program

“We partner with Pitaki to help Buyers discover our products. If you discovered us via Pitaki, please use promo code PITAKI for a 2% discount. We then remit a 3% referral commission to Pitaki.”

8) Non‑Circumvention

Suppliers agree not to bypass Pitaki by directly selling to buyers discovered through Pitaki without reporting and paying the applicable commission (5% or 3%). If circumvention occurs, Pitaki may seek recovery of commissions and related costs.

9) Confidentiality

Both parties will protect confidential business information and share it only as needed for this relationship. Obligations continue even after termination.

10) Intellectual Property & Seller Content

Seller grants Pitaki a limited license to use logos, images, and content for promotional purposes. Seller confirms ownership and legality of provided content.

11) Force Majeure

If unforeseen events (natural disasters, war, strikes, etc.) prevent either party from performing obligations, they will inform the other and attempt resolution. Either party may terminate affected obligations after one month if unresolved.

12) Term; Suspension; Termination

These Terms remain effective until ended by either party with one month’s notice. Pitaki may suspend or terminate accounts for breach, non‑payment, or misuse. Sellers must fulfill outstanding orders before closure.

13) Changes to these Terms

Pitaki may update these Terms with 30 days’ notice by posting online. Continued use means acceptance.

14) Warranties; Indemnity

Sellers warrant that their products comply with applicable laws and agree to indemnify Pitaki for claims arising from their products, listings, or conduct.

15) Limitation of Liability

Neither party is liable for indirect or consequential losses. Pitaki’s liability is capped at commissions paid in the past 12 months.

15.1) Business Benefits (Informational)

Using Pitaki gives Sellers visibility without needing their own website. Pitaki handles listing creation and visibility, so suppliers can focus on their core business.

16) Governing Law & Dispute Resolution

These Terms are governed by U.S. law, under the jurisdiction of the State of Delaware. Disputes will be resolved first amicably, then in Delaware courts if necessary.

17) Notices; Electronic Communications

We communicate through the Seller Dashboard or your registered email. Formal notices should be submitted through pitaki.com/contact.

18) Other Important Legal Points

Entire Agreement: These Terms (plus any Seller Dashboard rules) are the complete agreement between you and Pitaki. They replace previous versions or discussions. If you have a separate written agreement, it applies if conflicts arise.

Independent Businesses: You and Pitaki work as independent companies. This does not create a partnership or employment relationship, and neither can make commitments on the other’s behalf.

Transfer of this Agreement: You can’t transfer or assign your seller account or these Terms to another business without Pitaki’s written consent. Pitaki may transfer these Terms to its affiliates or to another company if Pitaki is merged or acquired.

Validity of the Agreement: If any part of these Terms is found invalid, the rest stays in force. If either party doesn’t enforce a right once, that right isn’t waived. Any waiver must be written and signed.
